PII for Law Firms Malaysia – Top-Up & Excess Layer Coverage
A PII Top-Up or Excess Layer policy provides an additional limit of indemnity above the firm’s underlying Professional Indemnity Insurance.
It does not replace the underlying PII. Instead, the additional layer is generally structured to respond above the applicable underlying limit, subject to the attachment point and the terms, conditions, limits and exclusions of the respective policies.
Depending on the total limit required, a firm may arrange one or more additional layers to build its overall PII programme.
How Additional PII and Excess Layers Work
Where a law firm wishes to obtain a higher limit of indemnity than that available under its underlying PII arrangement, additional Professional Indemnity Insurance may be arranged through an excess layer.
Under an excess layer structure, the additional policy is intended to respond above the applicable underlying limit or attachment point stated in the policy schedule. The attachment point, limit of indemnity and interaction with the underlying policy should therefore be considered when arranging the additional layer.
For example, where a firm has an underlying PII limit of RM2 million and an excess layer attaches above RM2 million, the excess layer is intended to provide additional protection above that amount, subject to the applicable policy terms and conditions.
Why the Structure of Multiple PII Layers Matters
In practice, VL Capital has encountered cases where a law firm already maintained its mandatory PII and an existing excess layer but later needed a further layer of additional PII to satisfy a bank panel or transaction-specific requirement.
In such circumstances, the insurer providing the higher excess layer may need to follow or align with the terms of the underlying policy. This can affect the wording, extensions, exclusions or other benefits available under the additional layer.
This means that adding another insurer at a higher layer may not always result in that insurer’s usual standard PII terms or benefits applying in full.
Having different insurers across several layers is not necessarily unsuitable, particularly where additional underwriting capacity is required. However, firms should consider how the layers interact and whether the overall insurance programme remains appropriately structured.
The total limit alone should therefore not be the only consideration. The attachment points, policy wording, exclusions, extensions, defence costs and other relevant terms across the different layers should also be reviewed.
When Law Firms May Consider Higher PII Limits
A law firm may review its PII limit where the amount provided by its underlying coverage does not meet the firm’s current requirements.
- Bank panel requirements – where a bank specifies a minimum total PII limit.
- Corporate or client requirements – where engagement terms require a specified level of insurance.
- Higher-value matters – where the firm wishes to review its overall limit in light of the nature and value of work undertaken.
- Cross-border or international work – where the firm may need to consider relevant territorial requirements and policy terms.
- Growth in the practice – where the firm’s size, areas of practice or overall requirements have changed.
PII Top-Up for Bank Panel & Ad Hoc Banking Requirements
PII Top-Up and Excess Layer Insurance provide additional limits above a law firm’s underlying Professional Indemnity Insurance, subject to underwriting acceptance and the applicable policy terms.
Where a bank requires a higher total PII limit than the firm currently maintains, additional PII may be arranged above the underlying coverage, subject to underwriting acceptance and policy terms.
This may arise not only for an existing bank panel requirement but also where a law firm receives an ad hoc bank panel appointment, specific financing transaction, loan documentation, security documentation or conveyancing matter and discovers that its existing PII limit does not meet the bank’s requirement.
As some of these matters may be time-sensitive, firms are encouraged to submit the relevant information for underwriting consideration as early as possible.
For a detailed explanation, see our Bank Panel PII Requirements for Malaysian Law Firms guide.
Information Required for PII Top-Up / Excess Layer Terms
For an initial underwriting request, the information required will depend on the circumstances. The firm may be asked to provide its latest Bar Council PII proposal form or PII summary report, current PII Certificate of Insurance and the total PII limit or additional amount of cover required.
Depending on the nature of the risk, claims experience, limit requested or other underwriting considerations, the insurer or underwriter may request further information or clarification before providing terms.
Important Features of an Excess Layer Policy
Claims-made basis – Professional Indemnity Insurance is generally written on a claims-made basis. The applicable policy responds subject to the claim being made and notified in accordance with the policy terms and conditions.
Retroactive date – Where a retroactive date applies, acts, errors or omissions occurring before that date may fall outside the scope of cover. The applicable policy schedule and wording should therefore be reviewed carefully.
Underlying insurance must be maintained – An excess layer is intended to sit above the specified underlying PII. The underlying insurance should therefore be maintained in accordance with the requirements of the excess layer policy.
Attachment point – The excess layer normally responds only after the applicable underlying limit or attachment point has been reached, subject to the policy terms and conditions.
Defence costs – The treatment of defence costs can differ between insurers and policy wordings. Firms should review whether defence costs are included within the limit of indemnity, subject to a separate limit, or otherwise treated under the applicable policy.
Limits and sub-limits – Certain extensions or types of cover may be subject to separate limits or sub-limits. The headline PII limit should therefore not be considered in isolation.
Policy wording and exclusions – The operation of an excess layer depends on the policy schedule, wording, exclusions, conditions and its relationship with the underlying policy.
The exact operation of the excess layer will depend on the policy schedule, attachment point, underlying policy and the applicable terms, conditions and exclusions.
